Professor Yongmin Kim of the UW Departments of Bioengineering and Electrical Engineering is the MAP UWICL Consortium Director (Director). Within applicable UW policies, the Director has the final administrative authority in the operation of the Consortium, including budgeting, selection of research topics, fiscal control, and appointment of technical and administrative staff. However, the Director is supervised by the Dean of Engineering, and certain Consortium management decisions may be made by, or in consultation with, UW's Office of Research (for Grant and Contract Services and Office of Technology Transfer) and/or other UW Management. The Director also receives advisory guidance and recommendations from the Consortium Advisory Board (CAB) as described below.

Annual Sponsorship Fee

An industrial Company may become a Sponsor of the Consortium by paying an annual fee (referred to herein and in the Sponsorship Agreement as Annual Sponsorship Fee) of Thirty-two Thousand Dollars (US $32,000) payable on or before January 1 of each year. The Sponsor receives the software site license to use the MAP UWICL source code immediately in R&D. The fee is fixed for the first two (2) years of the Consortium (January 1, 1999 - December 31, 2000), after which it is subject to change. After this two-year initial period, the fee will be adjusted for inflation and other reasons and may be increased or decreased by UW in consultation with the CAB.

Fees for the Initial Term

"Initial Term" is defined as the period from the date of execution of the Sponsorship Agreement to the following January 1. For this period, the membership fee will be pro-rated as follows:

Commercial License Fee

When the company is ready to introduce products using the MAP UWICL, they have two options for obtaining a commercial license:

Paid-up non-exclusive license: $150,000 one time payment

Royalty bearing non-exclusive license:

The sooner a company joins, the more advantageous the licensing terms become. For every year a company has been a member of the Consortium before a license agreement is executed, there is 10-25% reduction per year in paid-up license fee or royalty as shown below. The maximum reduction is 60%.

The Consortium Advisory Board (CAB)

The Consortium Advisory Board (CAB) provides advice regarding the choice of research topics, recommends areas of Sponsor's interest, and gives feedback on the overall Consortium operation. The CAB meeting will be held twice a year at the University of Washington. The CAB consists of the following:

One representative from each Sponsor (voting) (only 1 vote per Sponsor)
Director, MAP UWICL Consortium (voting)
One representative from Hitachi, Ltd. (voting)
Director, UW Office of Technology Transfer (non-voting)
Representative from UW Office of Research (non-voting)
Associate Dean, UW College of Engineering (non-voting)

Responsibilities of the CAB include:

Review progress and recommend future research direction to the Director
Review operating and research budgets
Make recommendations regarding Consortium operations and policies

Attendance by Sponsor of the CAB Meetings

Sponsor designates a person to serve as Sponsor's representative to the CAB
Sponsor's representative may elect to bring two additional employees of Sponsor to any CAB meeting.
Due to space and other limitations, the Director must approve, in advance, any observers from Sponsor over the three-person maximum set forth above.

MAP UWICL Schedule

The first MAP UWICL CAB Meeting on May 24, 1999.
Official MAP UWICL version 1.01 on May 31, 1999.
Biannual expansion and upgrade in May and November of every year.
Consortium will cease its operation on Dec. 31, 2003.
